Clearinghouse Terms & Status

DriverEats is a decentralized Software-as-a-Service (SaaS) logistics platform and clearinghouse. DriverEats is not a freight broker, forwarder, or motor carrier. All logistics agreements, cargo liability, and transportation arrangements are entered into directly between the independent Shipper and the FMCSA-licensed Carrier via peer-to-peer data matching.

Applies Across DriverEats Verticals — Food, Parcel, Returns & Eco

The neutral-clearinghouse status described above is not limited to Haul Plus freight. DriverEats operates the same way across every delivery vertical it dispatches — food and goods ordering, same-day parcel, returns pickup, and eco bike delivery:

  • Merchants are the merchant of record. Restaurants and shops sell their own food and goods on their own Stripe accounts; DriverEats never sells, owns, or marks up their items and is never the merchant of record for an order.
  • Drivers are independent businesses. Each independent driver sets and charges the delivery fee on their own payment account and keeps 100% of that fee plus 100% of every tip; DriverEats never pays drivers.
  • DriverEats never touches the money. Payment is split directly to the merchant and the driver at the moment of payment. The platform never holds, escrows, captures, pools, or routes customer funds, and issues no payouts.
  • One flat customer service fee. Customers pay a single flat service fee for the dispatch and payment-clearing service DriverEats performs — never a commission, never a percentage of the order, and never a platform membership. Refunds for food come from the merchant; refunds for delivery come from the driver.
🛑 Fixed-Rate Clearinghouse Directive

This platform functions strictly as an algorithmic clearinghouse. All dispatch rates are hardcoded from exact route mileage, vehicle class, and weight.

No blind bidding — rates cannot be adjusted or modified.

No broker margins — the freight fare goes directly to the driver; the platform charges only a separate flat SaaS usage fee.

No rate negotiation — settlement is finalized at checkout and funds move directly between the parties via Stripe upon delivery.

1. Technology Platform & Clearinghouse Status

DriverEats is a decentralized SaaS logistics information infrastructure and a neutral technology clearinghouse providing data transmission, credential verification, and automated matching between independent Shippers and independent FMCSA-compliant Carriers. It is NOT a freight broker, freight forwarder, property broker, or motor carrier under 49 U.S.C. § 13102 or 49 C.F.R. § 371.2. It owns no vehicles/trailers, employs no drivers, and does not control the method, timing, or route of any transport. Shippers and Carriers contract on a peer-to-peer basis at their own discretion.

2. Financial Settlement & Stripe Connect Split Payments

Fees are calculated by a programmatic formula (Base + Distance + Weight). The platform does not negotiate rates or capture any spread between what a Shipper pays and a Carrier receives. Via Stripe Connect, Shippers pay Carriers directly through a split-payment architecture; the platform never takes possession of or holds freight capital in a proprietary account. At settlement, the Carrier is paid into their own Stripe account and the platform separately collects a flat SaaS access fee. Users are bound by the Stripe Connected Account Agreement.

3. Limitation of Cargo Liability & Indemnification

As a neutral technology utility the platform assumes 0% cargo liability and is exempt from the Carmack Amendment (49 U.S.C. § 14706) for any loss/damage/theft/delay of cargo, parcels, or vehicles matched via the platform. All cargo claims are resolved directly between Shipper and Carrier against the Carrier’s verified insurance. Shippers and Carriers indemnify and hold the platform harmless from claims arising out of cargo damage, accidents, injury, or transport non-compliance.

Carrier Compliance & Warranty Agreement

1. Operating authority. You warrant you hold active, valid, unrestricted FMCSA operating authority (USDOT + MC number) and will immediately stop using the platform if it is suspended, revoked, placed Out-of-Service, or rated Unsatisfactory.
2. Automated compliance pings. You authorize the platform to programmatically query the FMCSA SAFER / L&I systems, and to instantly freeze or terminate your access if a check detects a compliance lapse, unpaid UCR, or inactive status.
3. Insurance thresholds. You will maintain, at your own expense, at least $750,000 public/auto liability and at least $100,000 primary inland-marine / cargo coverage, and keep a current Certificate of Insurance on file.
4. ELD & IFTA. You assume 100% responsibility for HOS/ELD compliance (49 C.F.R. § 395) and your own IFTA reporting; the app’s GPS/state-line logging is a data utility only.
5. E-signatures. Generating or uploading a digital Bill of Lading or Proof of Delivery via the app is a legally binding electronic signature under the ESIGN Act; all pre/post-trip damage photos will be accurate, timestamped, and unedited.
6. Clearinghouse acknowledgement. You acknowledge DriverEats is a technology clearinghouse and not a freight broker, and that your transport contract is directly with the shipper.

Shipper / Dealership Terms & Compliance Agreement

1. Carrier selection is yours. The platform verifies FMCSA authority + COI on registration, but final selection and hiring of a carrier rests solely with you; you are encouraged to independently verify safety ratings on FMCSA SAFER before releasing high-value cargo.
2. Direct peer-to-peer contract. Hitting "Dispatch / Confirm Haul" creates a binding transport contract exclusively between you and the accepting carrier. The platform is not a party, and will not be named as broker/arranger/carrier on any BOL or manifest.
3. Accurate declarations. All cargo info you enter (VIN, make/model, actual weight, dimensions, operable vs inoperable, instructions) is 100% accurate; misdeclaring weight/size may trigger programmatic price adjustment.
4. Inspection & e-BOL. You (or your lot agent) will cooperate with the pre-trip inspection, review the carrier’s photo log, and execute the e-BOL at pickup; failing to sign at origin waives use of platform metadata in later damage disputes.
5. Stripe split authorization. You authorize a Stripe Connect authorization hold when a carrier accepts, and instant release/split to the carrier (fare) and platform (flat SaaS fee) upon the POD signature at delivery; you agree not to file fraudulent chargebacks on fulfilled deliveries.

Carriers accept the Carrier Compliance & Warranty Agreement during onboarding; shippers accept the Shipper Terms when posting a load. This page reflects the platform's clearinghouse status and is provided for transparency.
